General Terms and Conditions (GTC) of der Main Management

1. Scope

1.1 These General Terms and Conditions (GTC) apply to all business relationships between  Main Management (hereinafter referred to as “Consulting Company”) and its clients (hereinafter referred to as “Client”). 1.2 Deviating, conflicting, or supplementary General Terms and Conditions of the Client will not become part of the contract unless the Consulting Company expressly agrees to their applicability.

2. Conclusion of Contract

2.1 The presentation of services by the Consulting Company does not constitute a binding offer. A contract is only concluded upon written confirmation by the Consulting Company. 2.2 Amendments and supplements to the contract must be made in writing.

3. Services of the Consulting Company

3.1 The Consulting Company provides its services in accordance with the service description in the contract. 3.2 The Consulting Company is entitled to employ subcontractors to provide services.

4. Obligations of the Client

4.1 The Client undertakes to provide the Consulting Company with all necessary information and documents in a timely and complete manner. 4.2 The Client commits to cooperate to the extent required for the proper provision of services.

5. Fees and Payment Terms

5.1 The fees for consulting services are as agreed in the contract. 5.2 Invoices from the Consulting Company are payable without deduction within 14 days of the invoice date. 5.3 In case of delayed payment, the Consulting Company is entitled to charge interest on arrears at a rate of 9 percentage points above the base interest rate.

6. Liability

6.1 The Consulting Company is liable for damages caused by intentional or grossly negligent behavior. 6.2 For slight negligence, the Consulting Company is only liable for the breach of essential contractual obligations and limited to foreseeable, typical contractual damage. 6.3 Liability for lost profits and other consequential damages is excluded.

7. Confidentiality

7.1 Both parties commit to treat all information obtained in the course of the contractual relationship as confidential. 7.2 This obligation remains in effect even after the contract has ended.

8. Data Protection

8.1 The Consulting Company processes personal data of the Client in accordance with applicable data protection regulations. 8.2 Further information can be found in the Consulting Company’s privacy policy.

9. Termination

9.1 The contract may be terminated by either party with four weeks' notice to the end of the month. 9.2 The right to terminate without notice for good cause remains unaffected.

10. Final Provisions

10.1 Amendments and supplements to these GTC must be made in writing. 10.2 Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. 10.3 The law of the Republic of Austria applies. 10.4 The place of jurisdiction for all disputes arising from or in connection with this contract is the registered office of the Consulting Company, provided the Client is a merchant, a legal entity under public law, or a special fund under public law.
